These terms are the agreement between you and Audere Software LLC, a Wyoming limited liability company at 30 N Gould St, Ste N, Sheridan, WY 82801, United States ("we", "us"). They cover Invollc: the website at invoiceforllc.com, the web app and the API (together, "the Service"). By creating an account or using the Service you accept them. If you use Invollc for a company, you confirm you can bind that company to these terms.
1What Invollc does, and what it doesn't
Invollc helps you issue invoices and estimates, record payments and expenses, track deadlines and keep the records a foreign-owned US LLC typically needs, including a summary of the figures used for Form 5472.
We don't give tax, legal or accounting advice and we don't file anything for you. Reports, summaries, deadline reminders, exchange rates and explanations in the app and on the blog are general information and depend on the data you enter. They may be incomplete, out of date or wrong for your situation. Before you file a tax return or make a decision that matters, check it with a qualified professional. You remain responsible for your filings, your deadlines and the correctness of your invoices under the laws that apply to you and your clients.
We are not a bank, a payment institution or a money transmitter. We never hold your money.
2Your account
- You must be at least 18 and able to enter a contract.
- Give accurate information and keep it current.
- Keep your password and API keys safe. You're responsible for what happens under your account. If you think someone else has access, tell us right away.
- One person per login. You can invite team members if your plan allows it.
3Free trial, plans and billing
- Trial. New accounts get a 14-day trial with every feature unlocked. No card is needed. When the trial ends without a paid plan, your account becomes read-only: you can still see and export your data, but not create new records.
- Subscriptions. Paid plans are billed monthly or yearly, in advance, through Stripe. They renew automatically at the end of each period at the price then in effect, until you cancel.
- Cancelling. You can cancel anytime from Settings. You keep access until the end of the period you paid for and you won't be charged again.
- Refunds. If you're not happy, write to us within 14 days of your first payment on a plan and we'll refund it in full. Apart from that, payments for periods already started aren't refunded, except where the law says otherwise.
- Price changes. We tell you by email at least 30 days before a new price applies to you. It applies from your next renewal, and you can cancel before then.
- Taxes. Prices are shown without any sales tax or VAT that may apply. Where we must collect it, it's added at checkout.
- Failed payments. If a renewal can't be charged, Stripe retries for a while. If it still fails, the account becomes read-only until the payment goes through.
- Chargebacks. Please contact us before disputing a charge with your bank. We usually sort it out faster.
- Coupons and partner accounts. Discounts, lifetime plans and accounts provided through a partner follow the conditions shown when you got them.
4Payments from your clients and connected services
You can connect services you hold an account with, such as Stripe (to let your clients pay invoices by card), Mercury, Wise, Payoneer or VertoFX (to import payments you received). Those services are provided by their own companies under their own terms. Your client's money goes to your account with them, never to us.
- We may charge a small platform fee on card payments made through Invollc. If we do, it's shown before you enable card payments.
- When you connect a bank or payment account, you authorize us to read the data needed for the feature, for example incoming transactions to link them to invoices. We store access tokens encrypted and use them only for that purpose. You can disconnect at any time.
- Matching payments to invoices is automatic but not infallible. Check the result. We aren't responsible for errors in the data those services send us, or for their outages, fees or decisions, including whether they open or close your account.
5Your data
- It's yours. Invoices, clients, payments, expenses, files and anything else you put in Invollc belong to you. You give us permission to store, process and display them only as needed to run the Service for you.
- You can take it with you. You can export invoices, payments and expenses as CSV and download your PDFs at any time, including during the read-only period.
- Personal data. How we handle personal data, including your clients' data that you enter, is described in our Privacy Policy. You confirm you have the right to give us the data you enter about other people.
- After you leave. Write to us and we delete your account and data within 30 days, apart from copies we must keep by law and backups that expire on their normal schedule.
- Feedback. If you send us ideas or suggestions, we can use them freely, without owing you anything.
6Acceptable use
Don't use Invollc to:
- issue fake, misleading or fraudulent invoices, or invoices for illegal goods or services;
- launder money, evade sanctions or taxes, or help anyone else do it;
- send spam or phishing through invoice or reminder emails;
- access other people's accounts or data, probe or attack the Service, or get around rate limits and security measures;
- scrape or copy the Service, or resell it without a partner agreement with us.
You may not use the Service if you or your company are subject to US sanctions or located in a country under a comprehensive US embargo.
7Suspension and termination
You can stop using Invollc whenever you like, and ask us to delete your account at any time. We may suspend or close an account that breaks these terms, puts other users or the Service at risk, or that we're required to close by law. Unless it's urgent or illegal to do so, we'll tell you first and give you a chance to export your data. Sections 1, 5, 8, 9, 10 and 12 continue to apply after the account is closed.
8Availability and changes to the Service
We work to keep Invollc running and your data backed up, but we can't promise the Service will always be available or free of errors. We improve the product often. If we remove a feature you pay for in a way that matters, we'll tell you in advance, and you can cancel and get a refund for the unused part of your current period.
9Disclaimer
Apart from what these terms expressly say, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the extent the law allows.
10Limitation of liability
To the extent the law allows, we aren't liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or business opportunities, or for penalties or interest charged by tax authorities. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim. None of this limits liability that can't be limited by law, for example for fraud or gross negligence.
11Indemnity
If a third party makes a claim against us because of your invoices, your dealings with your clients, the data you entered or your breach of these terms, you'll cover the reasonable costs and damages that result.
12Governing law and disputes
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Before going to court, write to us and we'll try to resolve the issue informally within 30 days. If that doesn't work, the state and federal courts located in Wyoming have exclusive jurisdiction. If you are a consumer, nothing here takes away the protections you have under the mandatory laws of the country where you live.
13Changes to these terms
We may update these terms. For changes that matter, we'll email you at least 30 days before they apply. If you keep using Invollc after that, the new terms apply. If you don't agree, you can cancel before they take effect.
14Other things
- These terms and the Privacy Policy are the whole agreement between us about the Service.
- If a part of them can't be enforced, the rest still applies.
- If we don't enforce a right right away, we haven't given it up.
- You can't transfer your account or these terms without our consent. We can transfer them as part of a merger or sale of the business, and we'll tell you if that happens.
- We may contact you by email about your account. Those emails count as written notice.
